Acceptance of these terms
These terms are an agreement between you and Trackora [legal entity name pending], [business address pending] ("Trackora", "we", "us"). By creating an account or using the Trackora app or website, you accept them. If you use Trackora on behalf of a business, you confirm you can bind that business, and "you" means the business.
Eligibility and your account
You must be at least 13 years old (or the higher minimum age your jurisdiction sets) and able to enter a contract. Accounts are phone-based: you sign in with your mobile number and an SMS one-time code, and one number belongs to one account. Keep your number's SIM and device secure, because anyone who can receive your codes can access your account. Tell us promptly at support@trackora.app if you believe your account is compromised.
Acceptable use
Use Trackora to track assets you or your team are entitled to track. You must not:
- break the law, or infringe anyone's rights, with the service;
- upload content that is unlawful, malicious or that you have no right to store;
- probe, disrupt or overload the service, or attempt to access other accounts' data;
- resell the service or misrepresent your affiliation with us;
- use automated means to send messages through the service to people who have not agreed to receive them.
We may suspend accounts that put the service or other users at risk.
Your content and our licence
The asset records, photos and other content you put into Trackora remain yours. You grant us a worldwide, non-exclusive licence to host, store, reproduce and transmit that content solely to operate the service: to sync it between your devices, share it with your team, and generate the reports and exports you request. The licence ends when your content is deleted from the service, except for the limited period it persists in backups. You are responsible for having the rights to the content you upload.
Free tier limits
The free plan includes 50 assets, 3 team members and 1 location. These limits are soft: past the ceiling you can still view all of your data and still export it to CSV; adding new assets and inviting additional people require an upgrade. Current limits and plans are listed at trackora.app/pricing, and the numbers on that page are the ones that apply.
Paid plans, billing and refunds
Paid plans are not yet available. When they launch, their pricing, billing cycles, renewal and refund terms will be published at trackora.app/pricing and incorporated into these terms before you are charged anything. We will not charge you without your express agreement to a published price.
Availability
We work to keep Trackora available and your data synced, but the service is provided without an uptime guarantee, and free plans have no service level commitment. The offline-first design means the app keeps working on your device during outages; sync resumes when service is restored. We may change or discontinue features, and where a change is material we will give reasonable notice.
Intellectual property
Trackora (the apps, website, brand and everything in them other than your content) belongs to us or our licensors. These terms give you a personal, non-transferable, revocable right to use the apps and service as intended. You may not copy, modify, reverse-engineer or create derivative works from them except where law permits.
Third-party services
Trackora depends on third-party providers, messaging delivery and cloud hosting among them, described in our Privacy Policy. App stores' own terms apply to your download of the apps. We are not responsible for third-party services we do not control.
SMS and messaging consent
Signing in to Trackora requires SMS one-time codes, and using features like transfers and invites causes transactional messages to be sent. By creating an account you consent to receive these messages. Message frequency, opt-out (STOP), help (HELP) and our commitment not to share your mobile number are set out in the SMS and messaging section of the Privacy Policy, and message and data rates may apply. Opting out of verification codes means you cannot sign in until you opt back in.
Disclaimers
Trackora is provided "as is" and "as available". To the maximum extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Trackora is a register of what your team records. It does not guarantee that an asset is where the register says it is, and it is not a substitute for insurance, physical security or your own verification.
Limitation of liability
To the maximum extent the law allows: we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and our total liability for all claims arising out of or relating to the service in any 12-month period is limited to the greater of the amount you paid us in that period and US $50. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnity
If you use Trackora for a business, you will defend and indemnify us against claims arising from your content, your use of the service in breach of these terms, or your violation of law or third-party rights.
Termination
You can stop using Trackora and delete your account at any time in the app or by contacting us. We may suspend or terminate your account if you materially breach these terms, if the law requires it, or if we discontinue the service, with reasonable notice where practicable. Export your data before deletion; the Privacy Policy describes what happens to it afterwards. Sections that by their nature survive (your licence to content already shared with your team ends, but disclaimers, liability limits and disputes survive) continue after termination.
Changes to these terms
We may update these terms. The Last updated date at the top of this page will change, and for material changes we will notify you in the app or by message before they take effect. Using Trackora after a change takes effect means you accept the updated terms.
Governing law
These terms are governed by the laws of [jurisdiction pending], without regard to conflict-of-law rules, and subject to any mandatory consumer protections of the place you live.
Dispute resolution
If something goes wrong, contact us first at support@trackora.app, as most issues are fixable without formality. Disputes that cannot be resolved informally will be brought in the courts of [jurisdiction pending], unless mandatory law gives you the right to another venue.
